Terms of Use Agreement (TUA) and Disclaimer

TERMS OF USE:

  1. PURPOSE, Regenesis has made available the Regenesis Application Design Software for the sole purpose of estimating the amount of Regenesis product or products required to facilitate the degradation of a range of contaminants. Regenesis advises strongly against and will not be responsible for the use of its estimates for any product other than its own.
  2. UNAUTHORIZED USE is prohibited, including registration and or use/ misuse by competitors.
  3. RESERVATION OF RIGHTS AND OWNERSHIP. Regenesis reserves all rights not expressly granted to you in this TUA. The Software is protected by copyright and other intellectual property laws and treaties. Regenesis or its suppliers own the title, copyright, and other intellectual property rights in the Software. The Software is not for sale.
  4. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  5. NO RENTAL/COMMERCIAL HOSTING. You may not rent, lease, lend or provide commercial services with the Software.
  6. CONSENT TO USE OF DATA. You agree that Regenesis may collect and use technical information gathered as part of the product support services provided to you, if any, related to the Software. Regenesis may use this information solely to improve our products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you or your project.

DISCLAIMER:

THE SOFTWARE IS DESIGNED TO ASSIST THE LICENSOR IN EVALUATING THE FACTORS IMPACTING REMEDIATION OF CERTAIN FORMS OF ENVIRONMENTAL CONTAMINATION. THE ENGINEERING INVOLVED IN SUCH ANALYSIS IS COMPLEX AND THE SOFTWARE IS NECESSARILY AN APPROXIMATION OF THE ACTUAL RESULTS WHICH MAY BE OBTAINED IN THE FIELD. THE SOFTWARE IS NOT A REPLACEMENT FOR ENGINEERING AND ANALYSIS BY SKILLED ENVIRONMENTAL PROFESSIONALS. IT SHOULD BE USED WITH DUE PROFESSIONAL CARE, INCLUDING CONSIDERATION OF FACTORS NOT SPECIFICALLY ADDRESSED IN THE SOFTWARE. LICENSEE WILL BE SOLELY RESPONSIBLE FOR ANY MISUSE OF THE SOFTWARE, WHETHER INTENTIONAL, INADVERTENT, OR NEGLIGENT.

The Software is being provided AS IS and you are agreeing to assume the risk and cost associated with its use. Except as expressly provided in this License, REGENESIS HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH REGARDS TO THE CONDITION, OPERATION, OR RESULTS OF THE SOFTWARE.

LIMITATION OF LIABILITY

You agree that Regenesis will NOT be liable for damages, including, but not limited to, any direct, incidental or consequential damages of revenues or profit, even if Regenesis has been advised of the possibility of such damages, arising from your use of the Software.

MODIFICATION

No communication, oral or written, by Regenesis personnel shall be interpreted as modifying or broadening the scope of this Warranty.

MISCELLANEOUS

This License contains the entire Agreement as understood between the Licensor and Regenesis, superseding all prior agreements and understandings. Both parties agree to be bound by the laws of the State of California and the United States of America. If any part of this License is determined by a court of competent jurisdiction to be invalid, it shall be severed from the License and the License shall be enforced and construed in a way most closely approximating the intention of the parties as set forth in this License. This License may not be modified or amended unless done so in writing, signed by a duly authorized representative of Regenesis.
